Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client") and M Web Design ("we," "us," or "our"), a freelance web design business operated by a sole proprietor based in the Philippines, reachable at hello@mwebdesign.com.
These Terms govern your use of our website at mwebdesign.vercel.app and all services we provide, including but not limited to website design and development, SEO setup, domain and hosting services, website redesigns, content writing, and website publishing.
By submitting a project inquiry, making a payment, signing a proposal, or communicating your intent to proceed — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
We reserve the right to update these Terms at any time. Changes take effect when posted on this page with an updated date. Continued use of our services after changes constitutes acceptance.
Services
M Web Design provides the following services (as applicable to each project engagement):
- Custom website design and development (HTML5 / CSS / JavaScript)
- CMS-based website design on WordPress, Wix, Squarespace, and Webflow
- Website redesign — refreshing the design and layout of existing websites
- Landing page design (single-page, conversion-focused)
- SEO setup and optimisation (on-page, technical, ongoing retainer)
- Domain registration assistance (via Z.COM, Hostinger, Namecheap)
- Hosting setup and configuration (cPanel, hPanel, DNS, SSL activation)
- Domain and hosting account ownership transfer to client
- Website publishing and go-live deployment
- Copywriting and SEO content writing (website copy, blog articles, landing page content)
- Pre-made template customisation (via our "Find Your Design" service)
- Website maintenance and post-launch support (monthly retainer)
The specific scope of services for each project will be defined in a written proposal or agreement communicated via email. Services not explicitly included in that agreement are not covered unless separately confirmed in writing.
Payment & Pricing
3.1 Deposit. All projects require a non-refundable deposit of 50% of the total project fee before any work begins. This deposit secures your project slot and covers initial design work. The remaining 50% balance is due upon project completion and before final files or the live site are delivered to the client.
3.2 Payment Methods. We accept PayPal, Stripe, Wise, Maya (PayMaya), and GCash. Payments may be made in Philippine Peso (PHP) or US Dollar (USD). The applicable currency will be stated in your invoice. Payments must be cleared before deliverables are released.
3.3 Late Payments. If the final balance is not received within 14 calendar days of project completion notice, M Web Design reserves the right to: suspend delivery of final files, unpublish any temporary live preview, and charge a late fee of ₱500 (or $9 USD) per additional 7-day period until settled.
3.4 Pricing & Quotes. Published prices on our website are starting prices and are indicative only. A final written quote will be provided after reviewing your specific project requirements. Prices are confirmed in your project proposal and will not change once a proposal has been accepted and a deposit received.
3.5 Currency Fluctuations. Where a project is quoted in USD and payment is made in PHP, the exchange rate applied will be the prevailing rate on the date of invoice. We will always state the rate used in the invoice.
Project Process & Timeline
4.1 Timeline. Estimated delivery timelines are provided in good faith and confirmed in the project proposal. Typical timelines: Landing Page — 5–7 days; Small sites (3–5 pages) — 2–3 weeks; Multi-page sites — 3–6 weeks; Custom-coded projects — 4–8 weeks. These are estimates and may be affected by client responsiveness, scope changes, or factors beyond our control.
4.2 Client Delays. If you do not provide required content, feedback, login access, or approvals within 14 calendar days of a formal request, the project may be placed on hold. If a project remains on hold for more than 30 days due to the client's inaction with no communication, the deposit may be forfeited and the project slot reassigned. We will provide a written notice before taking this action.
4.3 Design Approval. Work proceeds to the next phase only after the client provides written approval (via email or agreed messaging platform) for the current phase. Verbal approvals are not binding.
4.4 Project Handover. Upon completion and full payment, all project files, credentials, and access will be handed over to the client within 3 business days. This includes source code files, hosting credentials, domain access, and any other assets created or obtained for the project.
Revisions & Change Requests
5.1 Included Revisions. Each project includes a defined number of revision rounds as specified in the project proposal (typically 2 rounds for builder-platform projects and landing pages; 3 rounds for custom-coded projects). A revision round is defined as a consolidated set of minor adjustments to an approved design — such as colour tweaks, font changes, text edits, or small layout adjustments.
5.2 What Counts as a Revision vs. a Change. Revisions apply to work already completed within the agreed scope. A change — such as adding a new page, changing the entire layout direction, or adding new functionality not in the original brief — is considered new work and will be quoted and billed separately before being carried out.
5.3 Revision Consolidation. Clients are asked to consolidate all revision feedback into a single document or message per round. Piecemeal feedback sent over multiple messages may consume multiple revision rounds.
5.4 Post-Launch Edits. Any changes requested after the project has been marked as completed, delivered, and launched will be charged at the current per-task or hourly rate. The first 30 days of post-launch support (bug fixes, technical issues only) is included free in all full website builds.
Intellectual Property & Ownership
6.1 Transfer of Ownership. Upon receipt of full and cleared payment, the client is granted full ownership of the final website design, code, and all custom assets created specifically for their project. This transfer is final and unconditional once payment is complete.
6.2 Third-Party Elements. Third-party components used in the project — including open-source frameworks (Bootstrap, jQuery), licensed fonts, stock photography, WordPress themes, Wix templates, plugins, or platform subscriptions — remain subject to their respective third-party licences. The client is responsible for maintaining those licences after handover.
6.3 Portfolio Rights. M Web Design reserves the right to display completed projects in our portfolio, on our website, and in promotional materials (e.g., social media, case studies). If you prefer your project to remain private, please notify us in writing before project completion. We will honour reasonable confidentiality requests.
6.4 Pre-Made Templates. Templates sold through our "Find Your Design" service are licensed, not sold outright. The client receives a single-use licence to use the template for one business or website. Reselling, redistributing, or sub-licensing the template to others is strictly prohibited.
6.5 Client-Provided Content. The client is solely and fully responsible for ensuring they hold the legal rights to all content (text, images, logos, trademarks, videos) provided to M Web Design for use in the project. If any third-party claim arises from content you provided, we accept no liability and you agree to indemnify us against any resulting loss or cost.
6.6 Work in Progress. All designs, code, and materials created during the project remain the property of M Web Design until full payment has been received. We reserve the right to withhold delivery of any work if payment obligations have not been met.
Client Responsibilities
A smooth project depends on timely client participation. You agree to:
- Provide all necessary content, assets, and information required for the project in a timely manner
- Grant temporary access to platforms, hosting, or domain accounts required to complete your project (where applicable)
- Ensure all content provided is accurate, lawful, and does not infringe third-party intellectual property rights
- Designate a single point of contact authorised to provide feedback, approvals, and decisions
- Respond to requests, provide feedback, and grant approvals within the agreed timeframes
- Make payments according to the agreed schedule (50% deposit upfront, 50% on completion)
- Not engage other designers to work on the same active project concurrently without prior written notice to us
- Change all platform passwords shared with us after project completion and handover
SEO Services — Specific Terms
8.1 Results Disclaimer. SEO setup (meta tags, sitemap, Search Console submission, speed optimisation) is a technical service. M Web Design does not guarantee specific search engine rankings, traffic volumes, or Google indexing timelines. Search engine algorithms are controlled by Google and other third parties entirely outside our control.
8.2 One-Time SEO Setup. Our standard SEO service is a one-time setup. It does not include ongoing keyword strategy, link building, or content marketing unless you are on an ongoing SEO retainer.
8.3 Platform Limitations. SEO capabilities may be limited by the platform your website is built on. For example, Wix and Squarespace have fewer technical SEO controls than WordPress or custom HTML5. We will inform you of any platform-specific limitations before beginning SEO work.
8.4 Client Cooperation. Effective SEO requires client input — particularly for keyword targeting, business description, and content. Delays in providing this information may affect the quality or timeliness of SEO deliverables.
Domain & Hosting Services — Specific Terms
9.1 Ownership. All domain and hosting accounts set up on behalf of a client are intended to be fully transferred to the client upon project completion and full payment. The client will receive all account credentials and full ownership. M Web Design will retain no administrative access after handover unless ongoing maintenance is explicitly agreed.
9.2 Provider Accounts. Domain and hosting accounts may initially be registered in M Web Design's name or the client's name, as agreed. Regardless of initial registration, full account details are handed over to the client upon completion.
9.3 Renewal Responsibility. Domain and hosting renewals after the initial period are solely the client's responsibility. M Web Design is not responsible for domain expiry, hosting lapses, or website downtime resulting from the client's failure to renew their subscriptions.
9.4 Third-Party Costs. The prices listed for domain and hosting services represent M Web Design's service/setup fee. Actual registrar or hosting costs are passed through to the client at cost. These will be itemised in your invoice.
9.5 DNS Propagation. After domain DNS changes, propagation may take 1–48 hours and is outside our control. We are not responsible for downtime during this normal propagation window.
Content Writing — Specific Terms
10.1 Scope. Content writing services (website copy, blog articles, landing page content) are scoped by word count, number of pages, and research depth as confirmed in the project proposal.
10.2 SEO Content. Where content is written for SEO purposes, we will target keywords agreed upon with the client. We do not guarantee ranking outcomes (see Section 8.1).
10.3 Revisions. Written content includes up to 2 rounds of revisions. Major rewrites (change of topic, audience, or tone) after approval constitute new work and will be quoted separately.
10.4 Originality. All content written by M Web Design is original and written specifically for your project. It will not be reused for other clients.
10.5 Client Input. Quality content requires your input — including your brand voice, target audience, product/service details, and approved keywords. Insufficient brief information may affect the quality of deliverables.
Cancellation & Refunds
11.1 Client Cancellation. If you cancel the project after work has commenced, the 50% deposit is non-refundable as it covers the time and resources already invested. If work completed at the point of cancellation exceeds the value of the deposit, the outstanding balance for completed work will be invoiced.
11.2 M Web Design Cancellation. If M Web Design is unable to complete the project due to circumstances within our control, we will provide a full refund of any payments made for work not yet delivered.
11.3 Template Purchases. Due to the digital nature of template files, all template sales are final and non-refundable once the files have been delivered. If you experience a technical issue with a delivered template, please contact us within 7 days of delivery and we will work to resolve it.
11.4 SEO & Hosting Services. SEO setup and hosting/domain setup services are non-refundable once work has commenced, as they involve labour and third-party account registrations that cannot be reversed.
11.5 Mutual Agreement. Refunds or partial refunds outside of these terms may be considered on a case-by-case basis at M Web Design's sole discretion.
Confidentiality
Both parties agree to treat as confidential any proprietary, sensitive, or non-public information shared during the course of the project engagement. This includes but is not limited to: business strategies, financial information, unreleased products or services, login credentials, client data, and pricing agreements.
M Web Design will not disclose client business information to any third party without prior written consent, except as required by Philippine law or legal process.
This confidentiality obligation does not apply to information that: is already publicly available, was independently developed by either party, or is required to be disclosed by law or court order.
Where a Non-Disclosure Agreement (NDA) is required by the client, we are happy to sign one prior to commencing the project.
Limitation of Liability
To the maximum extent permitted by applicable law, M Web Design shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, business opportunities, or data
- Business interruption resulting from website downtime or third-party outages
- Damages resulting from third-party platform changes (e.g., Wix, WordPress, Squarespace updates)
- Hosting provider outages, data loss, or security breaches outside our direct control
- Search engine ranking changes or algorithm updates affecting SEO results
- Domain expiry or hosting lapse due to client's failure to renew after handover
- Issues arising from content, images, or materials provided by the client
Our total liability to the client for any claim arising from our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.
Third-Party Services & Platforms
Our services may involve the use of third-party platforms, tools, and services including WordPress, Wix, Squarespace, Webflow, Hostinger, Z.COM, Namecheap, Google Analytics, and payment processors. M Web Design is not responsible for:
- Changes to third-party platform features, pricing, or terms of service
- Outages or performance issues caused by third-party platforms or hosting providers
- Data loss resulting from third-party system failures
- Plugin or app incompatibilities following platform updates after delivery
- Changes to Google's search algorithms affecting a client's SEO performance
The client is responsible for maintaining any required subscriptions, licences, or plan upgrades on third-party platforms after project delivery and handover.
Website Use
By using the M Web Design website, you agree not to:
- Use the site for any unlawful purpose or in violation of any applicable regulations
- Attempt to gain unauthorised access to any part of the website or its systems
- Copy, reproduce, or distribute any content from this website without prior written permission
- Use automated tools to scrape, crawl, or extract data from this website
- Transmit malicious code, viruses, or harmful content through this website
- Misrepresent your identity or affiliation when using our contact form or services
Dispute Resolution
16.1 Good-Faith Negotiation. In the event of a dispute, both parties agree to first attempt resolution through direct, good-faith communication. Most issues can be resolved quickly through a conversation.
16.2 Escalation. If a resolution cannot be reached within 30 days of the dispute being raised in writing, either party may escalate to formal mediation or appropriate legal proceedings.
16.3 Written Notice. All formal dispute notices must be submitted in writing via email to hello@mwebdesign.com with a clear description of the issue and the outcome being sought.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. M Web Design is a sole proprietorship based in the Philippines and operates under applicable Philippine commercial and consumer protection laws.
For international clients: while Philippine law governs this agreement, we commit to fair, transparent, and professional conduct with all clients regardless of location. We are happy to discuss any jurisdiction-specific concerns before commencing a project.
